Funds – establishment, structuring and operation of alternative investment funds

The UK is the largest hedge fund market in Europe by a considerable margin.  Based in the West End, and with global reach, we assist our fund clients with the issues that affect hedge funds throughout their lifecycle.

Uniquely, the Cummings Fisher funds team includes lawyers who have worked in-house for fund managers, in close liaison with trading desks, compliance teams and senior management. This commercial experience means that we understand the ongoing and long-term concerns of fund managers and help our clients grow and develop their businesses from formation onwards.

The innovative solutions provided to funds and fund managers in the UK’s alternative investments world allows fund managers to take advantage of a range of structures.  These can include the structuring of the fund and fund management entities as well as regulatory solutions.

Each of our lawyers has deep technical and commercial expertise and understanding of a range of structures, including stand-alone funds, master-feeder funds, segregated funds and regulatory hosting platform services, such as appointed representative arrangements in the UK and SPC funds in a range of offshore jurisdictions.

At the fund formation stage, and at all stages of their development, we have vast experience of all issues facing fund managers, including:

  • Fund structuring
  • Drafting fund documentation, including offering documents
  • Negotiating trading, brokerage, depositary and administration agreements
  • Compliance with EMIR, AIFMD, UCITS, FCA and MiFID II
  • Advice on UK marketing rules
  • Drafting LP, unit trust, investment management and AIFM agreements
  • Drafting shareholders and LLP agreements
  • Assisting with corporate meetings and resolutions

We advise clients on all aspects of the set-up, running and reasons for having managed accounts.  In this context we draw on our experience of all relevant issues, including:

  • The application of AIFMD or MiFID II
  • Drafting managed account investment management agreements
  • Advising on and drafting regulatory platform hosting agreements
  • Reviewing and negotiation client account opening agreements
  • Negotiating brokerage and trading agreements
